Terms of Service (Harpy)

1) Who we are

The Service is operated by Harpy Finance, Inc. ("Harpy," "we," "us," "our"), a company based in Panama.

2) Eligibility

You must be at least 18 years old to use the Service. By using Harpy, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3) The Service

Harpy provides tools to help you view and analyze your investment information in one place. Harpy may connect to third-party services that provide account data and market data.

Harpy does not execute trades and does not have authority to transact on your brokerage accounts.

4) Not financial advice

Harpy is provided for informational and educational purposes only.

• Harpy is not a broker-dealer, investment advisor, bank, or tax advisor.
• Nothing on Harpy should be considered financial, investment, legal, or tax advice.
• Any insights, projections, or analytics are estimates and may be incomplete or inaccurate.
• You are solely responsible for your investment decisions.

You should consult a qualified professional before making financial decisions.

5) Accounts and security

You are responsible for:

• maintaining the confidentiality of your login credentials,
• all activity under your account, and
• promptly notifying us of any unauthorized use.

We may suspend or terminate access if we believe your account has been compromised or used in violation of these Terms.

6) Subscriptions, trials, and billing

Harpy offers free and paid subscription plans.

Free Trial (Premium):

• Premium may be offered with a 7-day free trial.
• If you do not continue, your account returns to the Free plan at the end of the trial.

Auto-renewal:

• Paid subscriptions renew automatically until canceled.

Cancellations and downgrades:

• You can cancel or downgrade at any time.
• When you cancel or downgrade, you keep paid features until the end of your current billing period, after which your plan changes.

Upgrades:

• Upgrades may take effect immediately.
• If applicable, you may be charged a prorated amount for the remainder of the current billing period.

Price changes:

We may change pricing or plans from time to time. If we do, we will provide reasonable notice, and changes will apply at the next renewal unless stated otherwise.

7) Acceptable use

You agree not to misuse the Service. You must not, and must not attempt to:

Security and access abuse

• access the Service in an unauthorized manner,
• probe, scan, or test vulnerabilities,
• bypass authentication or rate limits,
• use credential stuffing, brute-force attempts, or automated login attempts.

Scraping and automation

• scrape, crawl, harvest, or extract data from the Service using automated means,
• use bots or scripts to overload the Service or circumvent product limitations.

Reverse engineering and interference

• reverse engineer, decompile, or attempt to discover source code,
• interfere with or disrupt the Service, servers, or networks,
• introduce malware or harmful code.

Fraud, deception, or illegal use

• impersonate any person or entity,
• submit false, misleading, or fraudulent information,
• use the Service to violate applicable laws or regulations.

IP and resale

• copy, distribute, sell, sublicense, or commercially exploit the Service except as permitted by us,
• remove or obscure proprietary notices.

We may suspend or terminate access if we reasonably believe you violated these rules.

8) Third-party services

Harpy may integrate with third-party providers for:

• payment processing and subscription management (through Paddle),
• investment account connectivity and data access (through SnapTrade),
• market data (through Twelve Data),
• cloud hosting (through Microsoft Azure).

Third-party services are not controlled by Harpy and may have their own terms and policies. Harpy is not responsible for third-party outages, errors, or data inaccuracies originating from third-party services.

9) Intellectual property

The Service and all related content, features, and functionality are owned by Harpy or its licensors and are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the Service for personal use in accordance with these Terms.

10) Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• the Service will be uninterrupted or error-free,
• data will always be accurate or complete,
• third-party connections will always be available.

11) Limitation of liability

To the fullest extent permitted by law, Harpy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or investment losses arising from your use of the Service.

If liability is found, Harpy's total liability for claims relating to the Service will not exceed the amount you paid to Harpy for the Service in the 12 months preceding the event giving rise to the claim.

12) Indemnification

You agree to indemnify and hold harmless Harpy from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:

• your misuse of the Service,
• your violation of these Terms,
• your violation of applicable laws, or
• your infringement of third-party rights.

13) Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we must do so to protect the Service, other users, or comply with law.

14) Governing law and jurisdiction

These Terms are governed by the laws of Panama, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be brought in the competent courts of Panama.

15) Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Your continued use after changes become effective constitutes acceptance.
